Hyderabad: Aurobindo Pharma’s US arm, Aurobindo Pharma USA, has received approval from the US Federal Trade Commission to acquire Lannett Company LLC in a $250 million transaction, clearing a key regulatory hurdle for a deal that is expected to close before the end of June 2026.The buy is valued on a cash-free, debt-free basis and includes normalised working capital, Aurobindo Pharma said in a regulatory filing. The company said the acquisition will expand its presence in complex generic medicines, particularly non-opioid controlled substances, while adding domestic manufacturing capacity. The Pennsylvania-based Lannett specialises in the development and commercialisation of a diversified portfolio of complex, non-opioid controlled substances. Its manufacturing facility in Seymour, Indiana, can scale production to about 4 billion doses annually, Aurobindo said. The added capacity is expected to strengthen Aurobindo USA’s US manufacturing footprint at a time when policymakers are emphasising pharmaceutical supply chain resilience and domestic production. The company said the transaction is expected to be immediately accretive to Aurobindo Group’s earnings per share and generate cost efficiencies, selling, general and administrative synergies, and operational integration benefits. It also is expected to add a differentiated pipeline of complex generics and controlled substances.Aurobindo Pharma USA CEO Swami S Iyer said the deal would accelerate revenue growth, bolster US manufacturing capabilities and boost its position in the complex, non-opioid controlled substances space.“This acquisition represents a highly compelling strategic and financial opportunity for Aurobindo USA,” he said.Lannett CEO Tim Crew said Aurobindo’s reach and resources would help make Lannett’s medicines more affordable and accessible.Aurobindo Pharma operates in more than 150 countries and has more than 30 manufacturing and packaging facilities approved by regulators.Aurobindo Pharma operates in more than 150 countries and has more than 30 manufacturing and packaging facilities approved by regulators.
